Terms of Service
These Terms of Service ("Terms") govern your access to and use of the ClauseFinder website, apps, APIs, embed widgets, and related services (collectively, the "Service"). By using the Service, you agree to these Terms and to our Privacy Policy and Legal Disclaimer.
1. Eligibility & accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You're responsible for keeping your credentials secure and for all activity on your account.
2. Acceptable use
- Don't upload documents you don't have the right to submit.
- Don't use the Service to harass, defraud, or violate the rights of any third party.
- Don't attempt to reverse-engineer, resell, or bulk-scrape the Service beyond your subscribed tier limits.
- Don't misrepresent yourself as a company maintainer to claim a listing you don't control.
3. Plans, billing, and taxes
- Free tier: 3 document analyses per calendar month plus 1 bulk job of up to 3 files.
- Pro ($19/month, or $1/month during the 30-day beta promo): unlimited analyses and bulk jobs.
- Partner API ($99/month): programmatic access via API keys, subject to fair-use rate limits.
- All fees are exclusive of applicable taxes, which will be collected as required by law.
- Subscriptions renew automatically until canceled. You may cancel at any time via the customer portal; access continues through the end of the paid period.
- Refunds are discretionary and generally issued only for duplicate charges or platform error.
4. Content ownership
You retain all rights to the documents you upload. By using the Service, you grant ClauseFinder a limited, worldwide, royalty-free license to process, store, and analyze those documents for the purpose of providing the Service to you. We may retain aggregated, de-identified metadata (e.g., the fact that Company X has an arbitration clause) to power the public directory.
5. Public directory & maintainer listings
When a document mentions a company, we may add or update a public entry for that company in our directory. Verified maintainers (via domain-hint email verification) may post an official response and receive analytics on their listing. Maintainer status may be revoked for abuse.
6. Partner API
Partner API access is licensed for internal use by your organization and permitted downstream research/advocacy uses. You may not resell, publicly republish, or expose the API surface to end-users of your own product without a separate written agreement.
7. Embed widget
The embed widget is provided at no cost for editorial, journalistic, and advocacy use on your own web properties. We may throttle or suspend abusive origins. The widget links back to ClauseFinder; do not attempt to strip or obscure that attribution.
8. Termination
We may suspend or terminate your access at any time for material breach of these Terms. You may delete your account at any time; deletion is permanent and cannot be undone.
9. Disclaimers & liability
The Service is provided as-is, without warranties of any kind. To the fullest extent permitted by law, our aggregate liability to you for any claim arising from the Service is limited to the greater of (a) the amount you paid us in the 3 months preceding the claim, or (b) US $50. 10. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California; you consent to personal jurisdiction there. We are, however, acutely aware of the irony of asking users of an arbitration-opt-out tool to waive their court rights — so we don't. You keep your right to trial.
11. Changes
We may update these Terms. Material changes will be announced by email or in-product notice at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
